Terms and Conditions for Carriers
Terms and Conditions
of DAGO Express Inc, 2574 Elm Street, River Grove, IL 60171, United States — USDOT 6965061, MC 63254743, a property broker licensed by the Federal Motor Carrier Safety Administration (“FMCSA”).
Version 1.0 · effective 2026-09-13 · governed by the laws of the State of Illinois, USA.
1. Scope
1.1. These Terms and Conditions (“Terms”) govern the use of the DAGO Express mobile app for carriers and drivers, the carrier web portal and the carrier account (together, the “Platform”) by motor carriers that register to receive shipments from DAGO Express Inc.
1.2. The Platform is available only to motor carriers holding active operating authority, including owner-operators, and to the persons they authorize to act for them. It is not intended for consumers or for employment.
1.3. “Carrier” means the motor carrier that holds the account. “Broker” and “we” mean DAGO Express Inc. Capitalized terms not defined here have the meaning given in the Agreement referred to in Section 2.
2. Relationship to the Carrier-Broker Agreement
2.1. Every shipment we tender to the Carrier through the Platform or through any other channel is governed by the Carrier-Broker Agreement (the “Agreement”). Where these Terms and the Agreement differ on any matter concerning a shipment — rates, payment, accessorial charges, cargo liability, claims, insurance, sub-contracting or acceptance — the Agreement prevails.
2.2. Creating or maintaining a carrier account on the Platform, or accepting a shipment through it, is one of the ways the Carrier accepts the Agreement (§ 1(a) of the Agreement). The Carrier reads the Agreement before registering.
2.3. These Terms regulate only the use of the Platform. They do not create a contract of carriage, do not oblige us to tender any minimum number of shipments and do not oblige the Carrier to accept any shipment offered.
3. Registration and Verification
3.1. Registration requires accurate and complete information about the Carrier, in particular its legal name, address, USDOT and MC numbers, tax identification (Form W-9), insurance, banking details, the vehicles it operates and the persons authorized to use the account.
3.2. Where the Platform asks for photographs of a vehicle, the photographs must show the actual vehicle that will perform shipments, including its license plate, and must be taken at the time of registration. Stock images, images of other vehicles or edited images are not accepted.
3.3. We verify registration data against FMCSA and other public records and may request additional documents, including certificates of insurance, operating authority and driver identification. We may decline, delay or condition the activation of an account at our discretion and without giving reasons.
3.4. The Carrier keeps its data current. Changes to operating authority, safety rating, insurance, banking details or the persons authorized to use the account are updated on the Platform without delay. Changes to remittance details are additionally subject to the verification procedure in § 7(c) of the Agreement.
3.5. An account is activated when we confirm it on the Platform. Until then the Carrier cannot see or accept shipments.
4. Carrier Account and Authorized Users
4.1. One account is issued per motor carrier. The Carrier may authorize its own drivers, dispatchers and fleet managers to use the account. The Carrier does not share its account with another carrier and does not allow a third party to perform shipments under its credentials.
4.2. The Carrier is responsible for all activity carried out under its credentials, including by its drivers and other Authorized Users, and ensures that they comply with these Terms and with the Agreement (§ 6(d) of the Agreement). The person who registers the account represents that they are at least 18 years of age and authorized to bind the Carrier.
4.3. Drivers use the Platform solely as personnel of the Carrier. Nothing in these Terms creates an employment, agency or joint-employer relationship between DAGO Express Inc and any driver or other person the Carrier uses.
4.4. The Carrier notifies us without delay of any suspected unauthorized access to its account and immediately removes Authorized Users who leave its organization.
5. Offers and Acceptance of Shipments
5.1. A shipment shown on the Platform is an invitation to the Carrier to accept it at the rate and conditions displayed. It is not a tender until the Carrier accepts it and we confirm the acceptance.
5.2. On confirmation the shipment is tendered to the Carrier under the Agreement. The rate, accessorial charges, appointment times, equipment type and shipment-specific instructions displayed at acceptance form the Rate Confirmation for that shipment.
5.3. The Carrier accepts a shipment only if it can perform it with its own equipment and personnel and within the times displayed. A shipment accepted and then not performed is treated as a cancellation by the Carrier under § 8(j) of the Agreement.
5.4. Rates are displayed in US dollars and are exclusive of accessorial charges, which are governed by the Agreement and the Schedule of Accessorial Charges.
6. Use of the Platform During a Shipment
6.1. During a shipment the Carrier uses the Platform to report status, to record pickup and delivery and to upload the photographs of the bill of lading and of the cargo required by § 5(d) of the Agreement. Uploads through the Platform satisfy the documentation duties of the Agreement to the extent stated there.
6.2. Where the Carrier has agreed to tracking under § 6(h) of the Agreement, the driver keeps the app running with location services enabled from pickup until delivery. Tracking is limited to the duration of the shipment.
6.3. The driver assigned to a shipment remains reachable through the Platform or by telephone as required by § 4(f) of the Agreement and gives advance notice of arrival as required by § 4(g) of the Agreement.
6.4. Information the Carrier receives through the Platform about shippers, consignees, addresses, rates and shipments is confidential and may be used only to perform the shipment concerned.
7. Invoicing and Payment Through the Platform
7.1. Payment terms, offset, factoring and the form of invoices are governed by § 8 of the Agreement. The Platform may offer the Carrier the option to submit its invoice and transport documents electronically; a submission through the Platform has the same effect as a submission by email to the address stated in the Agreement.
7.2. Payment is made only to the bank account verified on the Platform in the Carrier’s own name. We do not remit to third parties other than a factor notified under the Agreement.
8. Ratings, Suspension and Closure
8.1. Shippers and our dispatchers may rate the Carrier’s performance. Ratings, on-time performance and documentation compliance may affect the shipments displayed to the Carrier.
8.2. We may suspend or deactivate an account immediately where we reasonably believe that the Carrier has breached these Terms or the Agreement, has provided inaccurate information, holds an “Unsatisfactory” or “Conditional” safety rating, has lost operating authority or insurance, or shows signs of fraudulent use (§ 2(b) of the Agreement).
8.3. The Carrier may close its account at any time in the app. Closure does not affect shipments already accepted, which the Carrier completes under the Agreement, and does not affect payments due.
9. Prohibited Conduct
9.1. The Carrier does not:
- sub-contract, broker or re-broker a shipment accepted through the Platform, or allow another carrier to perform it under the Carrier’s authority (§ 14 of the Agreement);
- register more than one account, use another carrier’s account or provide inaccurate information;
- contact a shipper or consignee introduced through the Platform in order to obtain transportation business outside the Platform;
- copy, scrape or extract data from the Platform, interfere with its operation or attempt to access other users’ data;
- upload photographs or documents that do not relate to the shipment concerned or that misrepresent the condition of the cargo.
9.2. Breach of this Section entitles us to deactivate the account. The consequences for the shipment concerned, including the loss of the right to payment for a double-brokered shipment, are set out in the Agreement.
10. Personal Data
10.1. We process personal data of the Carrier’s Authorized Users, including names, telephone numbers, driver identification documents and, during a shipment, the location of the device on which the app is running. Details are set out in our Privacy Policy.
10.2. The Carrier obtains from its drivers and other Authorized Users the consents and gives them the notices that are required under Applicable Law before it registers them on the Platform, in particular with respect to location tracking during a shipment.
10.3. Personal data of shippers and consignees that the Carrier receives through the Platform is processed only to perform the shipment concerned (§ 20 of the Agreement).
11. Availability and Liability for the Platform
11.1. We aim to keep the Platform available but do not warrant uninterrupted or error-free operation. We may change, suspend or discontinue functions of the Platform at any time and will inform the Carrier of material changes.
11.2. Where the Platform is unavailable, the Carrier reports status, uploads documents and submits invoices by telephone or email to the addresses stated in the Agreement. Unavailability of the Platform does not release the Carrier from its obligations under the Agreement.
11.3. Our liability for the Platform itself — as distinct from liability for a shipment, which is governed by the Agreement — is limited to direct damages caused by our gross negligence or willful misconduct. We are not liable for indirect, consequential or lost-profit damages arising from the use of, or inability to use, the Platform.
12. Changes to These Terms
12.1. We may amend these Terms by publishing a new version with a new version identifier and effective date and by notifying the Carrier through the Platform. Continued use of the Platform after the effective date constitutes acceptance of the amended Terms.
12.2. Amendments do not affect shipments accepted before the effective date.
13. Governing Law and Venue
13.1. These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules, except where federal transportation law applies.
13.2. The state and federal courts located in Cook County, Illinois have exclusive jurisdiction. The Parties waive any objection based on venue or forum non conveniens, and waive trial by jury.
13.3. If a provision is held unenforceable, it is modified to the minimum extent necessary or severed, and the remainder stays in force.
